Description: Job Title Corporate and Transactional Attorney Kaplan Division Kaplan Corporate City New York State/Province New York FT/PT Full Time Job Level Executive Required Working Hours Days Job Description Kaplans Legal Department provides senior management counsel on corporate strategic and tactical legal initiatives, manages the legal risks of the Company, and is responsible for Company compliance with applicable laws and regulations. As part of the Legal Department, the Corporate and Transactional Attorney will provide advice and counsel on a broad range of legal and strategic issues critical to the organizations goals. Responsibilities will include: . Provide proactive and effective legal counsel in the areas of general corporate law, M&A and joint ventures. . Assess proposed transactions and develop deal structures to minimize legal and business risks. . Manage acquisitions from inception to close. . Draft and negotiate a broad variety of agreements (license agreements, leases, vendor agreements, employment agreements, confidentiality agreements etc.). Oversee contract control process. . Manage outside counsel and other legal personnel. . Oversee corporate governance work. Requirements: . J.D. degree from a top-tier law school. . 10+ years of law firm and/or corporate experience is required. . Must have M&A experience, including detailed hands-on transactional work (leading due diligence, identifying risk areas, negotiating and drafting acquisition agreements) . Must exercise good judgment, show initiative, and handle sensitive and confidential data in a trustworthy manner. . Ability to quickly identify, analyze and propose solutions to legal issues. . Self motivated, well-organized and able to manage numerous projects simultaneously under deadline pressure with minimal supervision. . Excellent business judgment and strategic thinking with solid understanding of business operations and negotiation tactics. . Litigation and/or employment experience a plus. . Excellent interpersonal skills with the ability to provide hands-on counseling at all levels. . Flexibility and a willingness to work on a wide variety of legal matters. . A member in good standing of a Bar of one of the 50 states or the District of Columbia.
